Terms of Service

1. Definitions

“Solstice” means the desktop application of that name published by ABR Lab, including all components, updates, and accompanying documentation. “ABR Lab,” “we,” “our,” “us” means ABR Lab, the publisher of Solstice. “You” means the natural person or legal entity that installs or uses Solstice.

2. License grant

The Free build of Solstice is distributed under the MIT License. The terms of that license govern your rights to use, copy, modify, and redistribute the Free build, and take precedence over any conflicting term in this document.

For paid tiers (when offered), we grant you a revocable, non-exclusive, non-transferable, limited license to install and use Solstice on machines you personally own or control, for personal or internal business purposes. Each paid license is per-user, not per-device.

3. Restrictions

You agree not to:

• Resell, sublicense, or rent paid licenses to third parties.
• Circumvent licensing checks present in paid builds.
• Use Solstice in a manner that violates applicable law.

Nothing in this section limits your rights under the MIT License for the Free build.

4. Updates

We may release updates to Solstice at our discretion. Paid licenses include updates for the period specified at the time of purchase (currently: one year). After that period, your purchased version continues to work; further updates require renewal.

5. Payments and resellers

Paid licenses are sold through Paddle.com Inc., who acts as the merchant of record. Paddle handles taxes, payment processing, and the customer-facing receipt. Your purchase contract for payment matters is with Paddle; your license contract for use of the software is with ABR Lab.

6. Refunds

We offer a 30-day money-back guarantee on every paid license. Email hello@abrlab.xyz within 30 days of your purchase date and we will refund the full amount you paid. After the 30-day window, refunds are at our discretion. EU and UK customers retain their statutory rights regardless.

7. Intellectual property

ABR Lab retains all right, title, and interest in Solstice, except for rights expressly granted above and rights granted under the MIT License for the Free build. Any data you create with Solstice belongs to you, lives on your machine, and is not transmitted to us.

8. Termination

Paid licenses may be terminated by us for material breach of these terms, with notice. On termination of a paid license, you must stop using paid features and uninstall paid builds. Termination does not affect rights you have under the MIT License for the Free build.

9. No warranties

Solstice is provided “as is” and “as available,” without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement. You use Solstice at your own risk.

10. Limitation of liability

To the maximum extent permitted by applicable law, ABR Lab's total aggregate liability arising out of or relating to these terms or your use of Solstice shall not exceed the greater of (a) the amount you paid us for Solstice in the twelve months preceding the claim, or (b) US$100. We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, or business interruption.

11. Governing law

These terms are governed by the laws of [ABR Lab home jurisdiction — TBD], without regard to its conflict-of-law principles. The courts located in [ABR Lab home jurisdiction — TBD] have exclusive jurisdiction over any dispute arising from these terms.

12. Changes

We may update these terms from time to time. Material changes will be announced on this page; the updated effective date will appear at the top.
